It contains all the terms and conditions for the correct use of Flexylearn and all portions of flexylearn.com including all content and pages located within the flexylearn.com domain, including accessing course material, chat rooms and all electronic services on all platforms. These Terms and Conditions serve as an agreement between you and FlexyLearn. By using this site, you accept and agree to be legally bound by these Terms and Conditions. This applies to you whether you choose to register for the service or not. You agree to this based on all the services FlexyLearn provides. If you do not agree to this entirely or you do not fully understand these terms or you do not wish to be bound by these terms, please do not use flexylearn.com or any of the services FlexyLearn offers.

FlexyLearn reserves the right to amend the Terms and Conditions at any time without informing or notifying you. Any changes to these Terms and Conditions will be effective immediately upon posting on this page, with an updated effective date. By accessing flexylearn.com after any changes have been made, you indicate your agreement on an imminent basis to the modified Terms and Conditions and all the changes FlexyLearn makes. To avoid any issues, please ensure you return to the Terms and Conditions regularly to make sure you are familiar with the updated Terms and Conditions. For any substantial changes to the Terms, we will take reasonable steps to notify you of such changes. In all cases, your continued use of the Services after publication of such changes, with or without notification, constitutes binding acceptance of the revised Terms. FlexyLearn’s products and services are provided by FlexyLearn. These Terms and Conditions govern your use of flexylearn.com and any apps or mobile platform FlexyLearn’s services might be used. To ensure that all the services we provide on all the platforms are performing on optimal levels, you agree that we may automatically update our software/services/terms on any and every device and platform. Again, please ensure you read our terms and conditions carefully. By using our services, you agree to be bound by these terms and conditions including all aspects of our Privacy Policy.

Flexylearn.com and all its contents are owned and copyrighted by FlexyLearn and our partners with rights reserved unless otherwise stated. Your use of any of our content without the express written permission of FlexyLearn or our partners is prohibited. The intellectual property rights of FlexyLearn and flexylearn.com and its partners will be enforced using the law and FlexyLearn will seek criminal prosecution of anyone who uses flexylearn.com improperly. Where theft of any content on flexylearn.com occurs without express written consent and all other areas where FlexyLearn deems appropriate or detects foul play, FlexyLearn will seek criminal prosecution.

FlexyLearn respects the intellectual property rights of our users, participating institutions, and other third parties and expects our users to do the same when using the Services. We have adopted and implemented the FlexyLearn Copyright and Trademark Policy in accordance with all applicable laws.

FlexyLearn Website Description – PART A

We are an international education and training organization who deliver a wide range of short, medium and long–term free and paid courses and programmes certified by reputable global universities and knowledge-based organizations using a flexible approach. We offer an integrated trans-national education package with flexible modular learning, flexible payment options and flexible delivery platforms, including laptops and mobile phones, for individual and corporate clients. We believe there is a knowledge and skills gap in Africa and several developing economies, and current models of education cannot meet this demand. We therefore provide a basis for increasing knowledge and skills for social and economic impact.

Yours – with Flexylearn, you have ownership and control of your learning experience. We are only here to make it easier and cheaper.

We may update or amend these Terms (as well as any other policies or guidance we issue) from time to time to comply with law or to meet our changing business requirements, without notice to you. Any updates or amendments will be posted on flexxylearn.com. In addition, we reserve the right to modify, suspend or discontinue all the Online Content and Courses with or without notice to you and we will not be liable to you or any third party for any such modifications, suspension or termination. By continuing to use flexylearn.com, you agree to be bound by the terms of these updates and amendments.

Regulations For Online Conduct

FlexyLearn grants you permission to use the flexylearn.com in ways that have been stated below and in any way that the law deems legal.

When accessing flexylearn.com, you may download course content for non-commercial, personal use and provided you also retain all copyright and other proprietary notices contained on the all the material downloaded from flexylearn.com.

You may not distribute, modify, copy, transmit, display, reuse, reproduce, publish, license, create derivative works from, transfer, sell or otherwise use content on flexylearn.com without our written permission.

You agree that you are responsible for how you use flexylearn.com. You agree that you are responsible for all that you post on the website including everything you and other users post, publish or distribute and share on the site included but not limited to all posts, notes, questions, comments, videos and file uploads. You agree that you will use flexylearn.com in compliance with all aspects of these Terms and Conditions and the law of the land, including copyright laws, any laws regarding the transmission of technical data exported and all other associated laws applicable in the country in which you reside.

You agree that in using flexylearn.com, you will not use this site in any way that intends to damage, disable, overburden or impair any Flexylearn server or network connected to FlexyLearn which may interfere with any other user’s use and enjoyment of flexylearn.com. You agree that you will not attempt to gain unauthorized access to flexylearn.com, other user’s accounts, computer systems or network connected to Flexylearn’s server through hacking, password mining or through any other means, including the ones yet to be invented. You agree that you will not obtain or attempt to obtain any materials or information stored on flexlearn.com, its servers or associated computers through any means not intentionally made available through FlexyLearn or flexylearn.com.

FlexyLearn User Conduct

As a user of flexylearn.com, you agree that you will not post anything on flexylearn.com that;

defames, harasses or threatens others

discusses illegal activities with the intent to commit them

infringes another’s intellectual property, including, but not limited to, copyrights or trademarks
is profane, pornographic, obscene, indecent or unlawful content

advertises or promotes and form of commercial solicitation

is related to partisan political activities

has viruses, Trojan horses, worms, time bombs, corrupted files, malware, spyware or any other similar software that may damage the operation of another’s computer or property
contains intentionally inaccurate information or content that is posted with the intent of misleading others

You also agree not to scrape, or otherwise download in bulk, any content on flexylearn.com. These include but are not limited to lists or directories of users on the system, on-line textbooks, user postings or user information. Additionally, you agree not to misrepresent or attempt to misrepresent your identity while using flexylearn.com. This does not apply to situations where you create an anonymous username to access flexylearn.com, provided your behaviour and use of flexylearn.com remains reasonable and unharmful to Flexylearn and other users of flexylearn.com.

Using FlexyLearn – Rules & Regulations

To be able to use flexylearn.com in its entirety, you must provide your name, an email address and a user password to create a user account (“User Account”). You agree that you will never divulge or share access or access information for your User Account with any third party for any reason. In setting up your User Account, you may be prompted to enter additional optional information (e.g., your address). You imply that all information provided by you is accurate and current. You also agree to maintain and update your information to keep it accurate and current. In using this service, please note that we care about the confidentiality and security of your personal information. We are very careful in the way we collect and use your information.

The content on flexylearn.com is protected by the United Kingdom and foreign copyright laws. Unless otherwise expressly stated on flexylearn.com, the texts, exams, video, images and other instructional materials provided with the courses offered on flexylearn.com are for your personal use about the courses you are studying only. We aim to make much of all FlexyLearn courses content available under more open license terms that will help create a vibrant ecosystem of contributors and further FlexyLearn’s goal of making education accessible and affordable to the world. Reference documents, digital textbooks, articles and other information on flexylearn.com are used with the permission of third parties, and use of that information is subject to certain rules and conditions, which will be posted along with the information.

By using flexylearn.com, you agree to abide by all such rules and conditions. You also agree to retain all copyright and other notices on any content you obtain from flexylearn.com. All rights on flexylearn.com and its content, if not expressly granted, are reserved.

By submitting or distributing all information you post, you affirm, represent and warrant that you have the necessary rights, licenses, consents and/or permissions to reproduce and publish the information you post and to authorize FlexyLearn and its users to reproduce, modify, publish and otherwise use and distribute the information you post in a manner consistent with the licenses granted by you below, and that neither your submission of the information you post, nor the exercise of the licenses granted below will infringe or violate the rights of any third party. By submitting or distributing the information you post, you hereby grant to FlexyLearn, a worldwide, non- exclusive, transferable, assignable, sub licensable, fully paid-up, royalty-free, perpetual, irrevocable right and license to host, transfer, display, perform, reproduce, modify, distribute, re-distribute, relicense and otherwise use, make available and exploit the information you post, in whole or in part, in any form and in any media formats and through any media channels (now known or hereafter developed). By submitting or distributing the information you post, you hereby grant to each user of flexylearn.com, a non-exclusive license to access and use the information you post about their use of flexylearn.com for their own personal purposes.

FlexyLearn and the educational institutions and establishments providing courses on flexylearn.com may offer a certificate of achievement or other acknowledgment for students who, in their judgment, have satisfactorily demonstrated mastery of the course material. Certificates will be issued by FlexyLearn under the name of the educational institutions in conjunction with FlexyLearn from where the course originated i.e. Lancaster University. The decision whether a Certificate will be awarded to a given student will be solely within the discretion of the awarding educational institution or educational establishments. FlexyLearn and/or these educational institutions and establishments providing courses on flexylearn.com may choose not to offer a Certificate for some courses.

FlexyLearner(er) Study Conduct And Procedures

All students participating in any of the course FlexyLearn provide, must agree to abide by the following code of conduct:

Registering for only one account

Ensuring that all work submitted is not plagiarised or on any way fraudulent

Ensuring all work is not shared and sold to anyone including staff and third party members except in cases where sharing information is part of instructions given
Ensuring all students do not engage in any other activities that will dishonestly improve my results or dishonestly improve or hurt the results of others

As part of the services we provide, FlexyLearn may require you to pay a fee to receive an ID Verified Certificate of Achievement with respect to certain courses on flexylearn.com, in which case, the following processes and requirements shall apply;

As part of your registration, you will be prompted to submit a photo of yourself, along with one other form of photo identification. Although these items are collected by FlexyLearn, in accordance with these Terms and conditions, you should be aware that the actual authentication of your identity is performed by a FlexyLearn third party service provider.

In addition, the processing of your payment information is sometimes done by a FlexyLearn third party vendor, and you may be sometimes re-routed to a secure website to complete the payment transaction. In cases like this, the privacy statement posted at the payment landing page operated by such a third-party vendor will govern the submission and processing of your payment details.

Please ensure you are familiar with the terms found on such websites before and at the time of finalizing a payment or transaction.

Once your payment transaction is completed, you will be re-routed back to a FlexyLearn confirmation page and will receive a confirmation email with your name, order number and the payment amount. Please ensure you retain this email for your records as this information will be required if you seek a refund from FlexyLearn.

Flexylearn reserves the right to cancel, interrupt, or reschedule any course or to modify any course content or change the mark or weight of any assignment or assessment. Courses offered are subject to the Disclaimers and Limitation of FlexyLearn.

Unless otherwise plainly indicated by a credit-granting institution, participation in or completion of a course does not confer any academic credit. Even if credit is awarded by one institution, there is no presumption that other institutions will accept that credit. You agree not to accept credit for completing a course unless you have earned a Course Certificate for that course. FlexyLearn, the course lecturers, and the associated participating institutions have no obligation to have a course recognized by any educational institution or accreditation organization.

With respect to your participation in any course, nothing establishes any relationship between you and any educational institution with which FlexyLearn may be affiliated. You cannot enrol or register yourself in any educational institution, or in any course offered by any educational institution. Nothing entitles you to use the resources of any educational institution beyond participation in the course.

The service FlexyLearn provides enables you to share content, such as homework, comments, exams, projects, and other assignments you submit, posts you make in the forums with FlexyLearn lecturers, and/or other users. You retain all intellectual property rights in, and are responsible for, the User Content you share.

To the extent that you provide content, you grant FlexyLearn, a fully-transferable, royalty-free, perpetual, sub- licensable, non-exclusive, worldwide license to copy, distribute, modify, create derivative works based on, publicly perform, publicly display, and otherwise use all content you post. This license includes granting FlexyLearn the right to authorize participating institutions to use the content you post with their registered students and on-campus learners independent of the Services. Nothing in these Terms shall restrict other legal rights FlexyLearn may have to content you post, for example under other licenses. We reserve the right to remove or modify content you post for any reason, including content you post that we believe violates these Terms.

We welcome your suggestions, ideas, comments, and other feedback regarding the Services FlexyLearn provides. By submitting any Feedback, you grant us the right to use the Feedback without any restriction or any compensation to you. By accepting your Feedback, FlexyLearn does not waive any rights to use similar or related Feedback previously known to FlexyLearn, developed by its employees or contractors, or obtained from other sources.

FlexyLearn offers paid Services (e.g., Course Certificates for certain courses) for a fee. Unless otherwise stated, all fees are quoted in £ (Pound Sterling). You are responsible for paying all fees in a timely manner with a payment mechanism associated with the applicable paid Services. If your payment method fails or your account is past due, we may collect fees using other collection mechanisms. Fees may vary based on your location and other factors, and FlexyLearn reserves the right to change any fees at any time at its sole discretion. Any change, update, or modification will be effective immediately upon posting through the relevant Services.

FlexyLearn Privacy and Security

We care about the security of our users. While we work to protect the security of your account and related information, FlexyLearn cannot guarantee that unauthorized third parties will not be able to defeat our security measures. Please notify us immediately of any compromise or unauthorized use of your account by contacting FlexyLearn. Through the services FlexyLearn provides, you will be able to access and/or use content provided by lecturers, other users, and/or other third parties and links to websites and services maintained by third parties. FlexyLearn cannot guarantee that such third-party content, on the website or elsewhere, will be free of material you may find objectionable or otherwise inappropriate or of malware or other contaminants that may harm your computer, mobile device, tablet or any files therein. FlexyLearn disclaims any responsibility or liability related to your access or use of such third-party content.

We are constantly changing and improving our Services. We may add or remove functions, features, or requirements, and we may suspend or stop a service altogether. Accordingly, FlexyLearn may terminate your use of any Service for any reason. If your use of a paid Service is terminated, a refund may be available under our Refund Policy. None of FlexyLearn, its participating institutions and lecturers, its contributors, sponsors, and other business partners, and their employees, contractors, and other agents shall have any liability to you for any such action. You can stop using our Services at any time, although we’ll be sorry to see you go.

We therefore provide a basis for increasing knowledge and skills for social and economic impact by providing access to education from world leading Universities. We believe strongly in preserving free speech and expression for our learners as well as academic freedom for our partner institutions and lecturers. We also want to make sure that all our learners and lecturers feel safe and comfortable while using our Services. We have drafted these guidelines to ensure that people understand and follow the rules when participating in our online community and otherwise using our Services.

Although we do not routinely screen or monitor content provided by users, we may remove or edit inappropriate content or activity reported to us or suspend, disable, or terminate a user’s access to all or part of the Services.

You are prohibited from using our Services to share content that:

Access, tamper with, or use non-public areas of our systems, unless specifically authorized to do so.
Break or circumvent our authentication or security measures or otherwise test the vulnerability of our systems or networks, unless specifically authorized to do

Try to interfere with any user, host, or network, for example by sending a virus, overloading, spamming, or mail-bombing.

FlexyLearn Intellectual Property Rights

FlexyLearn respects the intellectual property rights of our partner institutions, lecturers, and other third parties and expects our users to do the same when using the service, we provide. We reserve the right to suspend, disable, or terminate the accounts of users who repeatedly infringe or are repeatedly charged with infringing the copyrights, trademarks, or other intellectual property rights of others.

FlexyLearn owns and is the licensee of all intellectual property rights in our site, and in the material published on it. Those works are protected by copyright laws and treaties around the world. All such rights are reserved. You (Flexy Learner) may print off enough copies for your sole use, and may download extracts, of any page(s) from flexylearn.com for your personal use and you may draw the attention of others within your organisation to content posted on our site.

You (Flexy Learner) must not modify the paper or digital copies of any materials you have printed off or downloaded in any way, and you must not use any illustrations, photographs, video or audio sequences or any graphics separately from any accompanying text. Our status (and that of any identified contributors) as the authors of content on our site must always be acknowledged.

You must not use any part of the content on our site for commercial purposes without obtaining a licence to do so from us or our licensors.

If you print off, copy or download any part of our site in breach of these terms of use, your right to use our site will cease immediately and you must, at our option, return or destroy any copies of the materials you have made.

FlexyLearn Trademarks

FlexyLearn also respects the trademark rights of others. Accounts with any other content that misleads others or violates another’s trademark may be updated, suspended, disabled, or terminated by FlexyLearn in its sole discretion. If you are concerned that someone may be using your trademark in an infringing way on our Services, please contact us as soon as possible. If we deem your notice/complaint as appropriate, we will act to remove the offending content, warn the individual who posted the content, and/or temporarily or permanently suspend or disable the individual’s account.

FlexyLearn Refund Policy

If you would like a refund, details on our refund deadlines and policies, please contact us. Please also note that we treat violations of our Terms very seriously and we have no obligation to offer refunds to learners who are found to be in violation of them, even if their requests are made within the designated refund period. Similarly, we do not offer late refunds to learners who do not pass a course, or who are otherwise unsatisfied with their final grade.

If you cancel your paid enrolment for a course, FlexyLearn will offer you a complete refund until 14 days after payment, or until you have earned your Course Certificate, whichever is earlier. If you pre-enrol and pay for a course, FlexyLearn will offer you a complete refund until 14 days after the course launches or until you have earned your Course Certificate, whichever is earlier. If you do not earn your Course Certificate within 180 days, your registration will expire and you will need to pay to re-enrol for the course.

If you cancel your one-time, paid enrolment for a Specialization, FlexyLearn will offer you a complete refund until 14 days after payment, or until you earn a Course Certificate for any course in the Specialization, whichever is earlier. If you pre-enrol and pay for the Specialization, FlexyLearn will offer you a complete refund until 14 days after the first course in the Specialization launches or until you have earned your first Course Certificate for any course in the Specialization, whichever is earlier.

Except as described in this Refund Policy or as explicitly stated as part of the sign-up process for a Service, FlexyLearn has no obligation to provide refunds or vouchers for any other Services.

FlexyLearn Disclaimer/Liability

The services and all included content are provided on “an as” basis without warranty of any kind, whether express or implied. All FlexyLearn parties specifically disclaim any and all warranties and conditions of merchantability, fitness for a particular purpose and non-infringement, and any warranties arising out of course of dealing or usage or trade. All FlexyLearn parties further disclaim any and all liability related to your access or use of the services or any related content. You acknowledge and agree that any access or use of the services or such content is at your own risk.

You agree to indemnify, defend, and hold harmless the FlexyLearn Parties from any and all claims, liabilities, expenses, and damages, including reasonable attorneys’ fees and costs, made by any third party related to:

your use or attempted use of the Services in violation of these Terms
your violation of any law or rights of any third party
User Content, including without limitation any claim of infringement or misappropriation of intellectual property or other proprietary

You agree that any dispute related to these Terms will be governed by the law of the Country in which you reside, excluding its conflicts of law provisions. You further consent to the personal jurisdiction of and exclusive venue in the courts located in and serving your country of residence, as the legal forum for any such dispute.

Excluding claims for injunctive or other equitable relief, for claims related to the Services where the total amount sought is less than Five Thousand Pounds (£5,000.00p), either you or FlexyLearn may elect at any point during the dispute to resolve the claim through binding, non-appearance-based arbitration. The dispute will then be resolved using an established alternative dispute resolution provider or other applicable source, mutually agreed upon by you and FlexyLearn. The parties and the selected legal provider/organisation shall not involve any personal appearance by the parties or witnesses, unless otherwise mutually agreed by the parties; rather, the arbitration shall be conducted, at the option of the party seeking relief, online, by telephone, or via written submissions alone. Any judgment rendered by the arbitrator may be entered in any court of competent jurisdiction.

To the maximum extent permitted by law, the all FlexyLearn parties shall not be liable for any indirect, incidental, special, consequential or punitive damages or any loss of profits or revenue. Whether incurred directly or indirectly, or any loss of data, use, goodwill or other intangible losses resulting from;

Access to or use or inability to access or use the services
Any conduct or content of any party other than the applicable Flexy Learn party, including without limitation any defamatory, offensive, illegal conduct
Unauthorised access, use, or alteration of content or information

In no event, shall FlexyLearn’s liability for all claims related to the services exceed a minimum amount to be decided by FlexyLearn.

You acknowledge and agree that the disclaimers and limitations of liability set forth in these terms of use reflect a reasonable and fair allocation of risk between you and all FlexyLearn parties, and that these limitations are an essential basis to FlexyLearn’s ability to make the services available to you. You also agree that any cause of action related to the services must commence within one year after the cause of action accrues. Otherwise, such cause of action is permanently barred.

FlexyLearn Miscellaneous Terms

FlexyLearn exclude all representations, warranties, conditions and terms express or implied by statute, common law or otherwise to the fullest extent permitted by law. We accept no liability for any special, indirect, incidental, consequential or economic loss, or any other losses, howsoever caused arising out of or in connection with these Terms.

This includes (without limitation):

any loss of profit (directly or indirectly);

any loss of goodwill;

any loss of opportunity; and

any loss of data suffered by you.

FlexyLearn accepts no responsibility or liability for your use of Online Content and Courses on flexylearn.com and your use is entirely at your own risk. While FlexyLearn takes reasonable precautions to prevent the existence of computer viruses and/or other malicious programs on flexylearn.com, FlexyLearn accept no liability for them. FlexyLearn do not warrant that defects on flexylearn.com or Online Content and Courses will be corrected.

If any of FlexyLearn’s Terms are found to be illegal, invalid or unenforceable by any court of competent jurisdiction, the remainder of these Terms remain in full force and effect. Only FlexyLearn is entitled to enforce these Terms. No third party is entitled to enforce any of these Terms, whether by virtue of these terms or otherwise. FlexyLearn may freely transfer or assign any part of our rights or delegate our obligations under these Terms. You are not entitled to transfer or assign, by operation of law or otherwise, any part of your rights or delegate your obligations under these Terms without our prior written consent. Everything set out in these Terms, the entire agreement between you (Flexy Learner) and us (FlexyLearn) replace any and all prior terms, conditions, warranties and/or representations to the fullest extent permitted by law. Any delay or failure by us to exercise any right FlexyLearn may have under these Terms does not constitute a waiver by us of that right.
